Terms of Use
1. General
Tadam Networks Ltd. (hereinafter: the "Company" or "Tadam") is the operator of the "Tadam" application, a technological platform that allows users to, inter alia, post requests for various types of services, and for Tadam to match users who wish to receive such services with users who wish to offer and provide them, all through the functions, interfaces and technological tools available on the platform from time to time (hereinafter: the "App" or the “Platform").
For the purposes of these Terms of Use:
"User" - any person who uses the platform, whether as a service recipient, a Tadamer, or both;
"Service Recipient" - a user who uses the platform to create a request to receive a service and/or receive a service from Tadamer;
“Tadamer" - a user who has completed the relevant joining process for the purpose of providing services through the platform and has been approved by Tadam as someone who is authorized to offer and provide services to service recipients;
"Service" - any service, task, assistance, work or action that a Service Recipient requests to receive and that a Tadamer offers or agrees to perform.
"Platform Services" - the various functions, tools, interfaces and technological services that Tadam makes available to users through the Platform from time to time, including mechanisms for creating requests, matching between users, and additional functions available through the Platform.
Such said user may use the platform both as a Service Recipient and as a Tadamer, in which case the instructions appropriate to each role will apply to him depending on how he uses the platform at any given time.
These Terms of Use govern the relationship between Tadam and users in connection with access to the Platform, its use, and receipt of the Platform Services. It is hereby clarified that these Terms of Use do not regulate the commercial or professional terms of the service provided by Tadamer to the recipient of the service, and that any engagement in connection with a particular service is made directly between the recipient of the service and Tadamer, as detailed in Section 7 below.
Use of the Platform and Platform Services is subject to these Terms of Use (hereinafter: the "Terms of Use"). Please read the Terms of Use carefully before using the platform, as your use of it will be deemed to constitute your agreement to the Terms of Use. It should be clarified that the user is not required to agree to the terms of use, but if he does not agree to these terms, he must exit the application and not use it in any way. Any use of the application, including any updated version, modification, improvement, update and/or upgrade of the application that will be provided by the Company and/or by anyone on its behalf, is subject to, and will be subject to, these Terms of Use .
These Terms of Use apply to the use of the application via various communication devices, including a smartphone and a tablet. The application can be used using a device that complies with the application's operating requirements. Tadam is not responsible for ensuring that these requirements are compatible with the device you use.
Tadam may, from time to time and subject to the provisions of the law, modify and update the Platform and the Platform Services, including adding, modifying, expanding, reducing, limiting, suspending or removing functions, content, service categories, matching mechanisms, areas of activity or other features of the Platform, as well as changing the manner in which they are used.
Certain Platform Services, categories or functions may only be available to some users, in certain geographic areas, at certain times or subject to compliance with additional conditions. Tadam does not guarantee that any particular Platform Service or function will be available at all times or will continue to be offered in the same format.
Tadam may determine, at its sole discretion, that the use of the Platform or a particular function thereof will be subject to supplementary terms or a separate agreement, which will apply in addition to these Terms of Use. To the extent that Tadam and a user, including Tadamer, enter into a separate agreement regarding a particular subject matter, including a commercial agreement, an agreement regarding certain Platform Services or functions, or another arrangement between the parties, the provisions of that agreement will apply in addition to these Terms of Use. In the event of a conflict between the provisions of the separate agreement and these Terms of Use, the provisions of the separate agreement will prevail with respect to the subject matter regulated by that agreement only, and in all other cases, these separate documents will be considered complementary to each other.
The division of the Terms of Use into sections and section headings is for convenience only and will not be used for interpretation purposes. Any reference in this document to the masculine gender shall also include the feminine gender. Any reference in this document to the singular shall also include the plural.
2. The platform
Tadam provides users with a technological platform and platform services that are designed to enable the creation and publication of requests for services, the identification and matching of Tadamers who may be relevant to such requests, and the transfer of information and communication between users for the purpose of coordinating and performing the service.
The services that can be requested, offered and provided through the platform will be from the service categories that Tadam will determine. Tadam shall be entitled, at its discretion and subject to the provisions of the law, to add, change, reduce or remove service categories.
Tadam does not provide the services subject to the requests and does not perform them. The services are provided by the Tadamers, independently and directly to the recipients of the service, and Tadam is not a party to the provision of the service. Tadam does not determine or supervise the actual performance of the service and does not provide Tadamers with the tools, materials or equipment required to perform it. Subject to the provisions of the law, Tadam is not responsible for the quality of the service, its provision time, duration, results, legality, safety, or suitability for the needs of the recipient of the service.
In particular, any reference on the Platform to a Tadamer holding a specific license, certification, or training, or any presentation of a Tadamer as 'verified', 'highly rated', or the like, whether by a badge, score, or any similar marking, means solely that such Tadamer has completed a registration process or a specific stage thereof, submitted certain information or documentation to Tadam, and/or met the criteria established by Tadam for such marking, as applicable. Such marking does not constitute and shall not be considered a recommendation, guarantee or representation by Tadam with respect to that Tadamer.
The Platform is designed to assist in connecting Service Recipients with Tadamers, based, inter alia, on the information and data available to Tadam and on the parameters established by it from time to time, and according to an algorithm or matching mechanisms to be operated by Tadam at its sole discretion. It is hereby clarified that the mere suitability of Tadamer for a particular request does not constitute a recommendation or undertaking on the part of Tadam regarding the suitability of the Tadamer for performing the service, the quality of the service, or its results.
3. Registration and creation of a user account
Use of the platform is intended for those aged 18 and over only. Anyone under the age of 18 is not permitted to register for or use the platform.
Use of the platform and platform services requires the creation of a user account. Registration may be done using a phone number and its verification using a one-time code, and/or using other registration methods that Tadam will enable from time to time, including using an Apple, Google account or other third-party service.
As part of registering and using the platform, the user will be required to provide details and information as may be required from time to time for the purpose of creating the account, activating it and receiving the platform services, including name, contact details and additional information required for the purpose of creating the user profile.
The user declares and undertakes that all information he provides to Tadam will be complete, correct, accurate and up-to-date, and that he will update the information whenever a material change occurs. The user will not provide false or misleading information, will not impersonate another person, and will not use the details, image, identity, or account of another person without lawful authorization.
The account is personal to the user and is not transferable. The user is responsible for maintaining the confidentiality of the identification and access means to their account, including any password, verification code, or any other means of identification, and shall not disclose them to any third party or permit any third party to make use of them. The user is responsible for taking reasonable measures to prevent unauthorized access to his account and to notify Tadam without delay if he becomes aware of or suspects that his account or means of identification have been used unauthorizedly.
Tadam may, subject to law, require the user to provide additional information, documents or verification actions, whether at the time of registration or during use of the platform, if this is required, among other things, for the purpose of protecting users, preventing fraud or abuse, complying with legal requirements or operating certain platform services or functions.
The user may discontinue the use of the platform and request to close his account using the options available to him in the application and/or by contacting Tadam via email at info@tadam.co.
Register as a Tadamer
3.8.1 In addition to the registration procedure detailed in Section 3 above, a user interested in offering and providing services through the platform will be required to complete a joining process as a Tadamer and provide the information and documents required by Tadam, including information regarding his identity, areas of activity, experience, skills, availability and user profile.
3.8.2 The joining process may include identity verification, including through an external provider, and as part of this process the user may be required to present an ID card, and/or perform additional verification actions. Completing the joining or identity verification process does not automatically grant the right to act as a Tadamer, and Tadam may, subject to law, approve or reject a joining application, request additional information or documents, or condition activity in certain categories on compliance with additional conditions, including presentation of a relevant license, permit, certification or approval, all as detailed in Section 6 below.
3.8.3 The Tadamers provide the services to the service recipients independently, in their own name and responsibility, and do not provide them on behalf of Tadam. A Tadamer determines its own availability, its areas of activity, and the requests it wishes to accept or reject, and is not obligated to a minimum scope of activity or exclusivity towards Tadam.
3.8.4 Tadam does not employ the Tadamers for the purpose of performing the services, does not manage or direct the manner of their performance, and does not determine working hours Nothing in the registration to the Platform, the approval of a user as a Tadamer, the matching of requests, or the use of the Platform Services shall be construed as creating an employer-employee relationship, partnership, agency, or any similar relationship between Tadam and the Tadamer.
3.8.5 For the purpose of operating location-based Platform Services, and in particular the matching of requests to a Tadamer, the Tadamer shall be required to allow the Platform access to his precise location, including in the background. This information will be processed subject to and in accordance with Tadam's privacy policy. Restricting location permission may limit activity on the platform.
4. Ordering services on the platform
A service recipient may create a request to receive services through the platform (hereinafter: a "Request") using the options available on the Platform from time to time, which may include, among other things, entering text, recording a voice message, uploading images or files, selecting a category, entering a location, date, estimated duration and other details relevant to the requested service. As part of creating the request, the service recipient must also indicate the amount he offers to pay for the service, according to the options presented on the platform, unless a different pricing mechanism is determined. To the extent that the amount is offered by the recipient of the service, Tadam does not determine the offered amount and makes no representation or undertaking regarding its reasonableness or suitability for the requested service.
The service recipient is responsible for providing a true and accurate description of the service he wishes to receive, and for bringing to the attention of the Tadamer any material information that may be relevant to the performance of the service, including access restrictions, special circumstances, or any other detail that a reasonable person would expect to receive before agreeing to perform the service.
The platform may use automated and/or artificial intelligence-based tools as part of the platform services, among other things, to assist the user in defining the request, presenting follow-up questions, summarizing or formulating the request, classifying it, locating relevant information for the purpose of matching or activating other functions on the platform.
Such automated tools are intended to assist the user, and may, by their nature, produce a result that is partial, inaccurate, or does not fully reflect the user's intent. The responsibility to review the details of the request and ensure that they correctly and completely reflect the requested service before approving it lies with the recipient of the service.
5. Matching Tadamers to Requests
Following the creation of a request for service, the Platform shall utilize an algorithm or matching mechanisms for the purpose of locating Tadamers who may be suitable to perform the requested service.
The match may be based, among other things, on the type of service requested, the location of the users, the availability of the Tadamer, the areas of service indicated, experience and skills provided, scope of activity, information appearing in the profile, ratings, previous activity on the platform and additional data or parameters that Tadam finds relevant from time to time.
A request may be forwarded to one or several relevant Tadamers, and each Tadamer to which a request has been forwarded will be entitled to accept or reject it. Matching between a request and a Tadamer will be completed in accordance with a mechanism that will be defined on the platform from time to time, including subject to approvals required by both parties.
It is hereby clarified that Tadam does not guarantee that a suitable Tadamer will be found for every request, and that in certain cases, no suitable or available Tadamer may be found to perform the service at all. In addition, Tadam does not guarantee that the Tadamer to whom a request has been forwarded will accept it, that the Tadamer will be available on a specific date, or that he will arrive within a specific period of time.
6. Professional Services, Licenses and Certifications
The platform allows the offering and acceptance of services from a wide variety of fields and categories, including services that, by their nature or by law, require a license, training, certification or any other approval for their performance.
Every Tadamer undertakes not to offer or choose to perform a service unless he is legally authorized to perform it and if he possesses the knowledge, competence, experience and any license, certification or approval required by law for its performance.
The responsibility to check the legal and professional requirements that apply to the service that the Tadamer wishes to perform, to comply with them, and to maintain their validity throughout the entire period of its activity lies with the Tadamer. In the event that a license or certification required for a Tadamer has expired, been revoked, suspended, or has ceased to exist for any other reason, the Tadamer shall immediately cease to offer and perform the relevant service and shall update Tadam to the extent that such information may affect his profile or activity on the Platform.
Tadam may, in relation to certain categories, require the Tadamer to upload a document regarding his training, license, or the like, and may also display a corresponding marking on such Tadamer's profile. Tadam does not check the authenticity of the documents uploaded to the platform or verify them with the entity that issued them, and does not verify that the document grants the Tadamer the certification or license required to perform a particular service. Furthermore, Tadam does not undertake to monitor the validity of Tadamers' licenses or certification.
To the extent that, in order to perform a particular service, the Tadamer is required by law to have insurance, a permit, equipment, safety measures or any other means, the responsibility to comply with this requirement lies with the Tadamer.
Without derogating from the provisions of this section, it is clarified that the service recipient is responsible for conducting any checks he deems appropriate regarding the licenses, certifications, experience, or qualifications of the Tadamer.
7. The relationship between the service recipient and the Tadamer
Any engagement in connection with the performance of a service shall be made solely between the Service Recipient and the Tadamer. Tadam is not a party to this engagement, and nothing in the actual matching between the users, the transfer of the request, or the making available of the Platform Services to them shall be construed as making Tadam a party to the service or imposing any liability upon it for the performance of their mutual obligations to one another.
The service recipient and the Tadamer are responsible for the agreements between them regarding the service, including its scope, location, date, manner of performance, the consideration for it, and any additional details relating to the performance of the service. Tadam may provide, as part of the Platform Services, tools designed to assist in the coordination and performance of the service, including a task description or summary, chat, call, location sharing, a code for confirming arrival or commencement of performance, a checklist, photo uploading, or additional mechanisms. However, it is clarified that Tadam does not monitor the service through these tools.
The users are responsible for determining the method of payment or any other commercial terms relevant to the engagement and to act in accordance with the agreements between the parties. Tadam is not responsible or liable for making a payment, for non-payment, partial or late payment, a dispute regarding the amount, a claim regarding a refund, cancellation of a payment, the payment method chosen by the users, for collection, settlement of a payment, or for any other matter related to the transfer of consideration between them.
Any cancellation of the service following the matching, including cancellation by the Service Recipient or by the Tadamer, shall be made and settled directly between the parties and in accordance with the agreements between them. Tadam is not a party to the agreements regarding such cancellation and is not responsible for the cancellation, its consequences, payment or refund resulting therefrom. Tadam will be entitled to take into account repeated cancellations or similar conduct, to the extent brought to its attention, in the context of operating the platform, including for the purpose of rating, adjusting or limiting a user's activity.
8. Payments
Without derogating from the provisions of Section 7.3 above, any payment for the service is made directly between the service recipient and the Tadamer and outside the platform.
The Tadamer is responsible for meeting any obligation applicable to it by law in connection with the consideration paid to it, including issuing an invoice, receipt or any other document as required, as well as for reporting and paying any tax, levy, fee or other mandatory payment applicable to him in connection with the provision of the service or receipt of the consideration.
The platform services are provided to users free of charge. However, Tadam may, at its sole discretion, change this arrangement in the future, including by collecting usage fees, subscriptions, commissions or other payments, all subject to the provisions of the law and notice or consent as may be required. Any such change shall apply as of the date specified by Tadam for its entry into force, but shall not create a retroactive charge for use made of the Platform prior to its entry into force.
9. User declarations and undertakings
Within the framework of using the Platform and the Platform Services, each user represents and undertakes that he shall act in accordance with these Terms of Use and the provisions of applicable law, provide correct and up-to-date information, and shall not use the Platform for the purpose of fraud, impersonation, harassment, threat, infringement of another person's rights, or any illegal activity.
In addition to what is stated in Section 9.1 above, each Tadamer declares and undertakes that he is entitled and qualified to perform the services he offers through the platform and that he will perform the service he has undertaken in accordance with and subject to the provisions of the law.
10. Prohibited uses
Without derogating from any other provision of these Terms of Use, the Platform or Platform Services shall not be used to request, offer, coordinate, promote, or perform any service or activity that is prohibited by law, or that is intended to enable, assist, solicit, or encourage the commission of an illegal act. Including, and without limitation, the Platform shall not be used in connection with sex services or prostitution; illegal activity related to drugs, weapons, or prohibited substances; theft, burglary, fraud, forgery, or impersonation; unauthorized access to computers or data, illegal surveillance, or wiretapping; prohibited gambling; or any activity that unlawfully endangers any person, animal, or property.
Tadam may refuse to process or forward a request and may also remove a request after it has been forwarded to a Tadamer, or take other measures in accordance with these Terms of Use if, in its opinion, there is reasonable concern that a particular request violates the provisions of this Section 10 or the provisions of applicable law.
11. Ratings, reviews, and user content
Ratings and reviews
Tadam may allow service recipients and Tadamers to rate each other and provide reviews or feedback regarding the service experience. Ratings may be displayed in the user's profile, including in the form of a cumulative or average rating, and the manner in which they are calculated and displayed may change from time to time.
Ratings and reviews reflect the opinion of the user who submitted them only and do not constitute the opinion, recommendation or endorsement of Tadam. The user undertakes to provide a rating in good faith and based on a real experience, and not to misuse the rating mechanism.
Tadam may, but is not obligated to, review ratings, reviews, or complaints, and to remove, hide, or disregard information that is not authentic, irrelevant, or that violates the Terms of Use. Tadam may take into account ratings and additional information regarding user activity for the purpose of matching mechanisms, user presentation, exposure, reliability indicators, and examining his continued activity on the platform.
User Content and Communication Between Users
Users may submit, upload or share text, images, documents, reviews and other content (“User Content”) through the Platform. The user is responsible for the content he uploaded and declares that he is entitled to use it and that it does not violate any law or right of a third party. The user's rights in the User Content shall remain his property, to the extent they exist; however, the user grants Tadam a non-exclusive, royalty-free license to use, store, process, copy, edit, rephrase, and display the User Content as required for the purpose of operating the Platform and the Platform Services, including for the purpose of displaying the user's profile, adapting the content to the Platform and improving its presentation, providing user support, security, preventing abuse, and developing and improving the Platform. In particular, Tadam will be entitled to edit and adapt information and content provided by a Tadamer as part of his user profile, including a free description and information regarding professional experience, in order to improve its presentation and adapt it to the structure and language of the platform.
The user shall not upload within the framework of the User Content any content that is illegal, false, misleading, threatening, harassing, defamatory, pornographic, inciting, or that infringes upon the privacy or rights of another person. Tadam may remove or restrict content that violates this provision.
In addition, the Platform Services may enable communication between users, as well as between users and the Tadam support team via chat, voice calls, voice messages, images, files or other means of communication. The platform's communication tools may not be used for the purpose of harassment, sending illegal or offensive content, or any use contrary to these Terms of Use.
12. Privacy Policy
As part of the use of the platform services, Tadam will collect personal information about the user. Tadam respects the user's privacy and is committed to protecting the personal information collected about him.
The policy for collecting, managing, storing and transferring information is described in our Privacy Policy, which forms an integral part of these Terms of Use. You agree and acknowledge that Tadam will use your personal information in accordance with the Privacy Policy. You can review our privacy policy here .
13. Intellectual property
All intellectual property rights (of any kind), including trademarks, trade secrets and copyrights, whether registered or not, in the application and any part thereof, including (and without derogating from) content, design, software, application, computer code, graphic file, text and any other material contained in the application, whether in the external interface, source code or target code, excluding user content, belong to Tadam and/or third parties, as the case may be, and are protected in accordance with the provisions of applicable law.
Users are prohibited from modifying, copying, publishing, distributing, broadcasting, displaying, reproducing, licensing, making available to the public, creating derivative works, reverse engineering , or otherwise using the Application or any part thereof, except in accordance with these Terms of Use or with the prior written consent of Tadam and/or the relevant third party, as applicable. The application may not be used in a manner that constitutes or may constitute a violation of the intellectual property rights of Tadam or a third party. Furthermore, no unauthorized commercial use may be made of the application, nor may any data mining, scraping, or use of bots, crawlers, or other automated means be conducted for the purpose of collecting or copying information from the application, without the prior written approval of Tadam.
The trademarks appearing in the application are the property of Tadam or third parties, as applicable, and may not be used without the prior written consent of the rights holder.
14. Restriction, suspension and termination of use of the platform
Tadam may, subject to law and taking into account the circumstances of the case, temporarily or permanently limit, suspend or terminate a user's access to the Platform, the Platform services, his account, certain categories or certain functions, in any of the following cases:
The user has violated the terms of use or a legal provision;
The user has provided information or a document that is false, misleading or materially out of date;
There is reasonable suspicion of fraud, impersonation, abuse, illegal activity or risk to another user;
Material or repeated complaints have been received regarding the user;
The user acted in a manner that harmed or may harm the Company, the Platform, the Platform Services, another user or a third party; or
This is required to maintain user safety, platform reliability, prevent misuse, or the proper operation of the platform and platform services.
The user shall have no claim, demand, and/or lawsuit against Tadam and/or anyone on its behalf regarding the foregoing, and no blocking, cessation, or restriction of use by Tadam shall derogate from the user's obligation to act at all times in accordance with these Terms of Use.
15. Platform availability and third-party services
The Platform and Platform Services are provided on an as-is and as-available basis. Tadam acts to maintain the Platform and ensure its proper operation; however, it does not guarantee that the use of the Platform or the Platform Services will be uninterrupted, free of disruptions, faults, or errors, or that every function will be available at all times.
The operation of the Platform and the Platform Services depend, among other things, on communication networks, Internet connection, location and map services, operating systems, app stores, cloud services, and other third-party services that are not fully under Tadam's control. Therefore, delays, disruptions, or limitations may occur due to these factors.
Information displayed within the Platform Services regarding location, distance, estimated arrival time of a Tadamer, estimated duration of service, availability, suitability or similar data may be based on estimates, information provided by users or information obtained from technological systems or third parties, and is not necessarily accurate or up-to-date at all times. The aforementioned information should not be considered a representation or undertaking on the part of Tadam.
Without derogating from the above, as part of the use of the platform, Tadam may provide links and references to various applications and/or various websites and pages on the Internet, operated by third parties (hereinafter: "Third Party Services"). Third-party services are not operated by Tadam and are not under its control, and their use may be subject to the terms and privacy policies of those third parties. Tadam is not responsible for their content, availability, integrity, or the services offered through them, and any use of them is the responsibility of the user and the relevant third party.
Tadam does not guarantee that the activity on the application will not be suspended temporarily or permanently, and it reserves the right to remove the application and/or modify it at any time at its sole discretion.
16. Limitation of liability
Subject to the provisions of the law and without derogating from what is stated in these Terms of Use, Tadam and/or its managers and/or employees and/or anyone on their behalf will not be liable or responsible for any of the following:
For any indirect, consequential, or incidental expense, loss, or damage, including loss of profits, revenue, business opportunity, goodwill, or data, incurred by a user or any third party in connection with the use of the Platform or the Platform Services;
For any malfunction, delay, disruption or interruption in the operation of the platform or platform services, as well as for any expense, loss or damage resulting from circumstances beyond the reasonable control of Tadam, including malfunctions in communication networks, the Internet or third-party services, instructions from a competent authority, material disruptions in communication systems, strike, shutdown, natural disaster, epidemic, war, act of hostilities or other force majeure event;
For any expense, loss or damage incurred in connection with the act or omission of a user or third party. In particular, Tadam shall not bear any liability for the performance or non-performance of a service by a Tadamer, its nature, quality, safety, suitability, or results; for the conduct of any user; for non-arrival, delay, personal injury, or property damage; for loss, theft, invasion of privacy, professional failure, non-payment, or for any dispute between a Service Recipient and a Tadamer.

18. Miscellaneous
Tadam may update the Terms of Use from time to time. If any significant changes are made, a notice will be published in the application at least 30 days before the changes come into effect. To the extent that non-material changes are made, a notice as aforesaid will be published a reasonable time before they come into effect, unless the changes are required in accordance with the provisions of any law or a requirement of a competent authority, in which case they will come into effect in accordance with the said provisions. Continued use of the application after the Terms of Use have been updated will constitute consent to the updated version. If you do not agree to the updated terms, you must stop using the application.
All disputes, claims, and lawsuits in connection with the application including, but not limited to, in connection with the services contained or offered therein, shall be governed solely by the laws of the State of Israel, excluding its conflict of law rules. The exclusive place of jurisdiction regarding the terms of use and use of the application is the competent courts in Israel only, and the parties expressly waive the jurisdiction of any other court in this matter.
Provisions of these Terms of Use which by their nature continue or survive the termination of the engagement or use shall continue to remain in effect.
Without derogating from the foregoing, these Terms of Use do not create, and shall not be construed as creating, a partnership, joint venture, employer-employee relationship, agency relationship, or franchisor-franchisee relationship between the parties.
In the event that any provision of these Terms of Use is determined by a court to be unlawful and/or invalid, such shall not invalidate the remaining provisions of these Terms of Use and/or the remaining parts of that provision which was invalidated or restricted by the court, and which were not invalidated or restricted.
Any delay by Tadam in exercising any right due to it, or its failure to insist upon a right due to it under these Terms of Use or under applicable law, is solely ex gratia and shall not serve or be deemed as a waiver by Tadam of any such right.
